b) Management
The university as a private institution under the law will be led by a Management as its highest organ. This Management forms the highest level of the institution for all business and operational issues. This means in particular that it provides the financial framework for the collective budget of the university. On the one hand it will determine the total amount of the operating budget; on the other it can distribute parts of the budget for certain institutions, projects or to form reserve funds. Still the non-directed existing portions of the budget should be adequate for the remaining lines, and university self-governance should maintain a certain amount of freedom to decide on the distribution of certain parts of the budget. The Management however will make the basic decisions in the area of the general development of the university. This includes responsibility for personnel questions and the setting of the individual salary grades for employees of the university or, in the case of certain occupational groups such as professors, the upper and lower boundaries in negotiating salary. To implement its decisions the administrative council can call upon experts or led committees deliberate on technical details; however it must maintain the final authority to decide.
Since the university leadership has a double character, combining an Executive Staff appointed by the Management with committees established according to the principles of academic self-governance, the members of the Management can hold positions in the Executive Staff (President, Vice-President, Prorector) but cannot also being among the elected members of the Senate or Departmental Councils. Furthermore membership in the Board of Directors and the Scientific Advisory Board is closed to them. Members of the Management who also hold a position in the university, may not receive a double salary.
